1. Introduction

Welcome to Nisaab360.

Nisaab360 is an independent Pakistani Software as a Service (SaaS) platform that helps schools and colleges digitize their academic, administrative, and institutional operations.

These Terms of Service ("Terms") govern access to and use of the Nisaab360 website, online Learning Management System (LMS), and associated digital services (collectively, the "Services").

By creating an account, accessing the platform, or using the Services, you agree to comply with these Terms and any applicable institutional subscription agreement.

If you do not agree with these Terms, you must not access or use the Services.

2. Definitions

For the purposes of these Terms:

Provider: Nisaab360, the operator and provider of the Services.

Institution: A school, college, or other authorized educational organization subscribing to the Services.

User: Any individual authorized to access the platform, including institutional administrators, teachers, students, parents, and employees.

Institutional Data: Information submitted, uploaded, created, or maintained by an Institution or its authorized users through the Services.

Account: An authorized user or institutional account created to access the Services.

Subscription: The paid arrangement under which an Institution receives access to the Services.

Institutional Agreement: A separate agreement governing the subscription relationship between Nisaab360 and an Institution.

3. Scope of Services

Nisaab360 provides access to an online learning and institutional management platform.

Depending on the available functionality and applicable subscription, the Services may support student admissions, enrollment records, classes, sections, attendance, timetables, fee management, examinations, academic results, institutional announcements, and role-based account management.

The Services are provided entirely online.

Nisaab360 may develop, modify, improve, replace, or discontinue platform functionality in accordance with these Terms and any applicable Institutional Agreement.

Access to a particular feature does not guarantee its permanent availability.

4. Eligibility and Authorized Use

Institutions must have the legal authority to enter into a subscription agreement and use the Services.

Individuals registering or acting on behalf of an Institution must be authorized to represent that Institution.

Users must access the platform only through accounts and permissions legitimately assigned to them.

Student and parent access may be arranged through the relevant Institution and remains subject to applicable institutional policies and legal requirements.

Individuals who lack the legal capacity to enter into binding contracts may use the Services only as permitted by applicable law and through an appropriate authorized arrangement.

5. Account Registration and Security

Users are responsible for providing accurate information when creating or maintaining accounts.

Account holders must protect their credentials and take reasonable precautions against unauthorized access.

Users must not share credentials with unauthorized individuals, impersonate other users, or attempt to bypass authentication and authorization controls.

Institutions are responsible for managing their authorized users, assigning appropriate permissions, and removing access when individuals no longer require it.

Any suspected account compromise or unauthorized access should be reported promptly to [email protected].

Nisaab360 may restrict account access where reasonably necessary to investigate security threats, suspected misuse, or violations of these Terms, subject to applicable contractual and legal obligations.

6. Institutional Onboarding

The institutional onboarding and initial data setup process is conducted online.

As provided in the Institutional Agreement, onboarding is expected to be completed within 7 days of account provisioning, provided the Institution submits all required information promptly.

This is an expected onboarding period rather than an unconditional completion guarantee.

Delays in submitting information, incomplete records, technical complications, or other circumstances affecting the onboarding process may influence completion.

Institutions are responsible for ensuring that submitted information is accurate and that they are authorized to provide it.

7. Subscriptions and Billing

Nisaab360 operates on a paid subscription model for educational institutions.

Subscription pricing, billing periods, payment requirements, and applicable commercial conditions are determined by the subscription arrangement presented to or accepted by the Institution.

Institutions are responsible for paying applicable subscription charges in accordance with those agreed conditions.

Nisaab360 does not establish a universal subscription price through these Terms.

Any applicable taxes, payment processing charges, or additional fees must be handled in accordance with the agreed billing arrangement and applicable law.

8. Renewals, Cancellations, and Non-Renewals

Subscriptions remain subject to their applicable subscription terms.

Renewals, cancellations, and non-renewals are managed online through the platform's billing or administration portal, as established in the Institutional Agreement.

A cancellation request does not automatically establish a refund entitlement or an immediate termination date. Such matters depend on the applicable subscription conditions and legal requirements.

Institutions should review their subscription information and complete necessary data exports before their access ends.

Nisaab360 will not treat these Terms as authorization to impose undisclosed renewal charges or additional contractual commitments.

9. Refunds and Payment Disputes

Refund eligibility, if any, is determined by the applicable subscription agreement, accepted billing conditions, and mandatory legal requirements.

These Terms do not independently establish a guaranteed refund period or a universal no-refund policy.

Institutions experiencing billing discrepancies or payment-related concerns should contact [email protected].

Where a payment is handled by an external payment service provider, the relevant provider's procedures may also apply.

Nothing in these Terms limits refund or consumer rights that cannot lawfully be excluded.

10. Acceptable Use

Users must use Nisaab360 lawfully and only for authorized educational, administrative, or institutional purposes.

The following activities are prohibited:

1. Accessing another user's or Institution's information without authorization.
2. Attempting to bypass authentication, permissions, or security controls.
3. Introducing malware, malicious scripts, or other harmful software.
4. Conducting unauthorized security testing, exploitation, or attacks against the platform.
5. Using the Services for fraud, impersonation, or unlawful activities.

Violations may result in restrictions, investigation, or other appropriate action consistent with the Institutional Agreement and applicable law.

11. User Roles and Institutional Permissions

Nisaab360 supports different institutional roles, including administrators, teachers, students, and parents.

Access privileges are intended to be assigned according to institutional responsibilities.

Users must not access or attempt to modify information outside their authorized permissions.

Institutions are responsible for maintaining appropriate role assignments and ensuring that administrative privileges are granted only to authorized individuals.

The availability of specific role permissions depends on the platform's functionality and institutional configuration.

12. Data Ownership

Institutions retain ownership of the Institutional Data they submit to and manage through Nisaab360.

Using the Services does not transfer ownership of institutional records to Nisaab360.

Institutions grant Nisaab360 the permissions reasonably necessary to host, process, display, maintain, transmit, and otherwise handle Institutional Data for the purpose of providing the Services in accordance with the applicable agreements and Privacy Policy.

These permissions do not authorize unrestricted use of Institutional Data for unrelated purposes.

Institutional ownership remains subject to the privacy rights of individuals and applicable law.

13. Institutional Responsibilities for Data

Institutions are responsible for ensuring that information submitted through the Services is lawful, accurate, and appropriate for its intended educational or administrative purpose.

Institutions are responsible for their collection and use of student, parent, teacher, and employee information, including providing required notices and obtaining permissions or consent where legally necessary.

Institutions must not upload information they are not authorized to collect, disclose, or process.

Nisaab360 provides the platform through which authorized institutional users manage their records and does not independently determine every purpose for which an Institution collects information.

14. Student and Children's Information

Nisaab360 may process information concerning students under the age of 18 as part of its educational management functionality.

Educational institutions are responsible for determining which student information is necessary and ensuring that its collection and processing comply with applicable requirements.

Student access must be established through an authorized institutional arrangement.

Parents or guardians seeking information concerning records maintained by an Institution should ordinarily contact that Institution.

Nisaab360 may assist with relevant privacy requests in accordance with applicable agreements and legal obligations.

15. Data Privacy and Confidentiality

Nisaab360 recognizes the importance of safeguarding information entrusted to the platform.

Personal information is handled in accordance with the applicable Privacy Policy and contractual obligations.

Both Nisaab360 and subscribing Institutions must maintain the confidentiality of proprietary information shared under their Institutional Agreement.

Confidentiality requirements apply to relevant information exchanged online or through other authorized communications.

These obligations are subject to lawful disclosure requirements and applicable contractual exceptions.

16. Data Export

Institutions retain ownership of their Institutional Data and may use available online export functionality to retrieve supported records.

Export functionality, supported formats, and available data categories depend on the platform's implementation.

Institutions are responsible for arranging necessary exports before subscription termination or loss of account access.

Nisaab360's obligations regarding data export remain subject to the Institutional Agreement and applicable law.

17. Data Retention and Deletion

Data retention and deletion are governed by the applicable institutional arrangements, operational requirements, Privacy Policy, and legal obligations.

Termination or expiration of a subscription does not necessarily result in immediate deletion of all associated information.

Certain records may require temporary retention for legitimate operational, legal, security, or dispute-related purposes.

No fixed post-termination retention period is established by these Terms.

18. Intellectual Property Rights

All intellectual property rights in the Nisaab360 platform, including its underlying software, source code, architecture, interface designs, branding, trademarks, documentation, and proprietary materials, remain the property of Nisaab360 or their respective lawful owners.

Subscription access grants authorized users a limited, non-exclusive, non-transferable right to use the Services for legitimate institutional purposes during their authorized access period.

This right does not transfer ownership of the software or any underlying intellectual property.

Users must not reproduce, redistribute, reverse engineer, resell, or commercially exploit proprietary platform components except where expressly permitted by Nisaab360 or applicable law.

Institutions retain their own rights in Institutional Data.

19. Platform Availability and Maintenance

Nisaab360 is delivered entirely online and requires access to supported internet services.

The platform may experience temporary interruptions caused by maintenance, software updates, infrastructure issues, technical failures, or circumstances beyond reasonable operational control.

Planned outage notices will be communicated online in accordance with the Institutional Agreement.

Nisaab360 does not establish a guaranteed uptime percentage or specific service-level commitment through these Terms.

Any separately agreed service-level obligations remain governed by the applicable agreement.

20. Technical Support

Technical support is provided through online communication channels.

Users contacting technical support should provide relevant information describing their issue.

Users should not disclose passwords, authentication secrets, or other sensitive credentials in support communications.

The availability of specific response times or resolution commitments depends on any support arrangements separately established by Nisaab360.

These Terms do not guarantee a particular response or resolution time.

21. Service Changes and Discontinuation

Nisaab360 may update, modify, replace, or discontinue the Services or individual features.

Significant changes or service discontinuation will be communicated online through the platform or registered email in accordance with the Institutional Agreement.

Where discontinuation affects institutional access, applicable contractual obligations concerning notices, data exports, and termination remain relevant.

Any rights to refunds or other remedies are subject to applicable agreements and mandatory law.

22. Temporary Suspension

Access to the Services may be temporarily suspended for maintenance, infrastructure work, security incidents, technical emergencies, or unforeseen outages.

Where suspension is necessary because of suspected misuse or a security threat, Nisaab360 may take reasonable protective measures consistent with its contractual and legal obligations.

Temporary suspension does not automatically terminate the applicable Institutional Agreement.

23. Termination for Breach

Either Nisaab360 or a subscribing Institution may terminate the Institutional Agreement where the other party breaches a material contractual obligation.

As established in the Institutional Agreement, the terminating party must provide 15 days' written notice through online communication or email to allow the breaching party an opportunity to remedy the breach.

If the material breach is not remedied within that period, termination may proceed in accordance with the Agreement.

Immediate protective restrictions may be necessary in response to active security threats or unlawful activity. Such restrictions do not automatically remove the contractual notice and cure requirements for termination.

Mandatory legal rights and obligations remain unaffected.

24. Effects of Termination

Upon termination or expiration of authorized access, the Institution and its users may lose access to the affected Services.

Institutions remain responsible for outstanding contractual obligations and for arranging necessary data exports.

Provisions concerning intellectual property, confidentiality, payment obligations, accrued rights, dispute resolution, and other matters that reasonably require continued effect may survive termination.

Handling of Institutional Data following termination remains subject to the Institutional Agreement, Privacy Policy, and applicable law.

25. Third-Party Services

Nisaab360 may rely on third-party technology or infrastructure providers to operate parts of the Services.

Certain integrations or externally provided services may be subject to additional third-party terms.

Nisaab360 does not assume responsibility for independent services outside its reasonable control, except where responsibility is imposed by applicable law or expressly agreed contractually.

The inclusion of an external integration does not transfer ownership of Institutional Data to Nisaab360.

26. Warranties and Disclaimers

The Services are provided on an "as is" and "as available" basis, subject to applicable law and any express commitments made in the Institutional Agreement.

To the maximum extent permitted by law, Nisaab360 disclaims implied warranties that are not expressly provided in an applicable written agreement.

Nisaab360 does not guarantee that the Services will be uninterrupted, error-free, or suitable for every institution's particular requirements.

Nothing in these Terms excludes statutory warranties, remedies, or protections that cannot lawfully be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Nisaab360's liability is limited in accordance with the applicable Institutional Agreement and any mandatory legal requirements.

Nisaab360 is not responsible for losses arising solely from an Institution's inaccurate submissions, unauthorized credential sharing, misuse of the Services, or events beyond the Provider's reasonable control, except to the extent liability is imposed by law or arises from Nisaab360's own legally actionable conduct.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

These Terms do not establish a specific monetary liability cap beyond the limitations legally permitted and contractually agreed.

28. Force Majeure

Nisaab360 shall not be liable for failures or delays in performing affected obligations to the extent permitted by law where they result from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, widespread infrastructure failures, governmental restrictions, major network disruptions, or other extraordinary events.

The affected party must comply with any applicable notice, mitigation, or other obligations under the Institutional Agreement and law.

Force majeure does not automatically eliminate obligations that can reasonably continue to be performed.

29. Amendments to These Terms

Nisaab360 may revise these Terms to reflect changes in the Services, operational practices, business requirements, or applicable law.

The latest published version will identify its effective date and last updated date.

Where changes materially affect an existing contractual relationship, any required notice, consent, or other contractual procedure must be followed.

Revised Terms will not automatically override negotiated Institutional Agreement provisions that remain legally binding.

30. Relationship With Institutional Agreements

These Terms provide general conditions governing the use of Nisaab360.

Institutions may also enter into separate subscription or service agreements containing specific commercial, operational, or contractual provisions.

Where a provision of these Terms conflicts with a valid and applicable Institutional Agreement, the specific Institutional Agreement provision will prevail for that Institution, unless otherwise required by law.

The Privacy Policy governs the additional information provided about the handling of personal data.

31. Governing Law and Dispute Resolution

These Terms are governed by the applicable laws of Pakistan.

Parties should first attempt to resolve contractual disputes through good-faith communication using the available online channels.

Where disputes cannot be resolved through communication, they may be referred to the competent courts in accordance with applicable law and the Institutional Agreement.

For Institutions bound by the stated dispute resolution provision of the Institutional Agreement, disputes are subject to the agreed jurisdiction of the courts located in Multan or Lodhran, to the extent that the jurisdiction arrangement is legally enforceable.

Nothing in these Terms removes mandatory statutory rights or legally required dispute resolution procedures.

32. Severability

If any provision of these Terms is determined to be invalid or unenforceable under applicable law, the remaining provisions will continue to apply to the extent legally permissible.

The invalid provision will not automatically affect the enforceability of unrelated provisions.

33. No Waiver

A failure or delay by Nisaab360 to exercise a contractual right does not automatically constitute a waiver of that right.

Any waiver must comply with applicable legal and contractual requirements.

35. Final Provisions

By accessing or using Nisaab360, users agree to comply with these Terms, subject to applicable law and any additional agreements governing their access.

Institutional administrators are responsible for ensuring that their authorized use of the Services complies with applicable subscription conditions.

These Terms, together with the applicable Institutional Agreement and Privacy Policy, establish the relevant framework governing use of Nisaab360.
